Evernorth Holdings began trading on Nasdaq as XRPN on Monday, October 12, four days later than first planned. The combined company is expected to hold roughly 473 million XRP [1], which would make it the largest publicly traded pure-play XRP treasury. The stock has since slid. XRPN was quoted at $15.27 on October 27, about 20% below the $19.20 close on October 6 and roughly 1.5 times its $10.49 trust value [16]. Its listed market capitalization of about $359 million is also below the value of the XRP it holds at current prices [16] [17].
What Evernorth is
Evernorth was unveiled on October 20, 2025, as a vehicle to build the largest public XRP treasury, combining with Armada II in a deal targeting more than $1 billion in gross proceeds [2]. Japan's SBI Group committed $200 million as lead investor, alongside Ripple, Rippleworks, Pantera Capital, Kraken, GSR and Ripple co-founder Chris Larsen. The company is led by CEO Asheesh Birla, a former senior executive at Ripple [2].
The plan is more active than simply holding a token. Evernorth said it would use most of its net proceeds to buy XRP on the open market, then put that treasury to work: lending to institutions, providing liquidity, participating in decentralized-finance strategies for yield, running XRP Ledger validators and integrating Ripple's RLUSD stablecoin [2].
The road to listing
The deal was originally expected to close in the first quarter of 2026. It took roughly three quarters longer, including a mid-course change to how shares are issued.

Why the August change mattered
When the deal was signed, XRP traded around $2.36. By early October it was near $1.52, down 18% for the year and about 58% below its all-time high of $3.65 [7]. Under the original terms, shares would have been issued against a much higher XRP valuation than the treasury now carries.
The August amendment fixed that. Investors still subscribe at $10.00 per share, but the number of shares they receive now adjusts to XRP's volume-weighted average price at closing, in either direction. The SPAC sponsor agreed to adjust its founder shares on the same proportional basis [5].
"Tying the share count to XRP's value at closing is the right thing to do for Evernorth and our investors." Evernorth, announcing the amended terms [5]
The vote, and the run-up
Evernorth announced the shareholder approval on October 1, alongside its capital picture at closing: roughly $300 million in gross cash, made up of $225 million from private placements, $30 million of convertible notes and about $48 million from the SPAC's trust [1]. The convertible notes carry a 4% rate and mature in 2031 [8]. Add about 473 million XRP, worth roughly $720 million at early-October prices, and the combined value exceeds $1 billion [7].
The market's reaction was immediate. XRPN, which had closed at $10.58 the Friday before, climbed through the week of the vote and finished Friday, October 2, at $39.42, a 273% weekly gain [9].

Change is versus the prior close in the table. *Monday's figure is the price at 1:37 p.m. CT, not a closing price (Finnhub market data).
At Friday's close, XRPN traded at nearly four times its trust value of $10.49 per share [9]. The SPAC itself is also much smaller than it once was: its trust now holds about $48 million [1], compared with the roughly $230 million it raised at its IPO [4]. Monday's session, a swing of more than $17 between the day's high and low, shows how sharply that price can move in both directions.
What to watch from here
- The closing mechanics. Private-placement shares are issued based on XRP's price at closing [5], so the share count, and the XRP behind each share, depends on that price. Sources cite XRP at about $1.43 at closing, down from $2.36 at signing [14].
- Price versus holdings. The key number is how the market values XRPN against its XRP. At debut-day prices the 473 million XRP was worth about $657 million to $677 million [13] [14]. On October 27, Robinhood listed a market capitalization of about $359 million. At XRP's $1.29 on October 26 the holdings are worth roughly $610 million, so the listed value sits about 40% below them [16] [17]. Market-cap figures can reflect a different share count, so treat that comparison as a rough guide. Recent treasury-company listings are a caution: Tether-backed Twenty One fell 25% on its NYSE debut, and ProCap BTC has lost more than 60% since its own merger [9].
- How the treasury is put to work. Evernorth plans to lend XRP and deploy it for yield [2]. Some analysts note that lent XRP can end up with traders holding short positions, which could add to supply pressure rather than support prices [7].
- XRP itself. With the token still well below its highs [7], Evernorth's share price will be closely tied to the XRP market.
Two weeks in, the open question is whether the market values XRPN as a stock or as a proxy for the XRP it holds. The gap between the listed market value and the token value suggests the market is not paying full price for the XRP. We'll update this piece once the stock has a settled trading range and a confirmed closing price.
